Commercial Counsel

Job Summary:

  • To manage commercial and litigation matters involving the business, proactively mitigate legal risks through employee training sessions and other initiatives, and perform such additional tasks as assigned by the Assistant General Counsel.

 

Essential Functions:

  • Draft, review and negotiate various agreements, including supply, sales and distribution, contract manufacturing, marketing and endorsement, licensing, real estate, services, confidentiality and indemnity agreements, as needed for the business to achieve its strategic objectives
  • Provide counsel to domestic and international Commercial teams as appropriate to ensure compliance with anti-trust and competition laws applicable to the sale and distribution of the company’s products in various geographic regions
  • Provide counsel to Corporate Development team in connection with potential acquisitions and other corporate transactions and governance matters, including due diligence with regard to contracts, employment files and policies, and litigation matters
  • Provide assistance with coordination of litigation, government investigations, third-party subpoenas, and other disputes involving the business
  • Provide training and general legal support to all departments throughout the business as appropriate to proactively manage legal risks where exposures exist

Education/Experience:

  • Degree or equivalent experience: J.D. degree with strong academic credentials from a top U.S. law school, and a bachelor’s degree from a top university
  • Years of experience: 8-12 years of related legal experience, preferably with time spent in both a top-tier law firm and at an international branded consumer products company in the Food/Beverage industry
    • General business and commercial law experience, including advising clients on commercial transactions and business development needs
    • Experience handling class action and other complex litigation in multiple jurisdictions considered a plus
    • Experience handling employment and labor matters considered a plus
    • Experience with FDA food and dietary supplement law considered a plus
