Senior Corporate Counsel

Job Summary:

  • To manage litigation, employment and commercial law matters involving the business, proactively mitigate legal risks through development of company policies and procedures, employee training sessions and other initiatives, and perform such additional tasks as assigned by the General Counsel, Americas.

Essential Functions:

  • Manage litigation, government investigations, third-party subpoenas, and other disputes, including class action lawsuits, EEOC charges, OSHA investigations and disputes with suppliers/customers, and engage/assist/supervise outside counsel as necessary to ensure litigation is handled effectively and efficiently
  • Provide employment and labor counsel as needed to ensure compliance with applicable laws, including development and review of policies and programs, employee training sessions, and advice regarding employee hirings, separations, grievances and other issues that arise day-to-day
  • Draft, review and negotiate various commercial agreements, including supply, sales and distribution, contract manufacturing, marketing and endorsement, licensing, real estate, services, confidentiality and indemnity agreements, as needed for the business to achieve its strategic objectives
  • Provide training and general legal support to all departments throughout organization as needed to proactively manage legal risks where exposures exist

 Education/Experience:

  • Degree or equivalent experience: J.D. degree with strong academic credentials from a top U.S. law school, and a bachelor’s degree from a top university
  • Years of experience: at least 12 years of related legal experience, preferably with time spent in both a top-tier law firm and global consumer products company in the Food/Beverage industry
    • Extensive general business and commercial law experience, including advising clients on commercial transactions and business development needs
    • Experience handling employment and labor matters, including drafting employment agreements and policies and defending EEOC charges and employment related litigation
    • Experience handling class action and other complex litigation in multiple jurisdictions considered a plus
    • Experience with trademark matters and federal and state marketing/advertising laws considered a plus
  • Other requirements: Member in good standing of the Illinois bar
